These Terms and Conditions (“Terms”) govern your access to and use of the Omnifys website, AI agents, AI-powered SaaS tools, consulting services and training courses (together, the “Services”), provided by Omnifys Consulting Inc., a company registered in Toronto, Canada (“Omnifys”, “we”, “us”). By creating an account, purchasing a subscription, booking a consultation, or otherwise using the Services, you agree to these Terms.

1. Who we are

Omnifys Consulting Inc. is based in Toronto, Ontario, Canada, and serves clients across Canada, the United States and Australia. Omnifys is a joint product of Omni Academy & Consulting and MHSG Consulting Group.

2. Our Services

Omnifys provides:

  • AI Agents — custom and catalog AI agents that automate workflows such as customer support, sales, operations and back-office tasks.
  • AI-Powered SaaS Tools — subscription software products purchased through our online store.
  • Consulting — AI strategy, roadmapping and implementation advisory services.
  • Training — self-paced and instructor-led courses delivered through our learning platform.

Service descriptions, features and pricing on this website are illustrative and may be updated from time to time. Where a specific engagement (for example a custom agent build or consulting project) is agreed separately in writing, the terms of that agreement take priority over this general document for that engagement.

3. Accounts

You need an account to purchase tools, enroll in courses, or manage a subscription. You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.

4. Subscriptions, pricing and payment

  • All prices on this website are listed in United States dollars (USD) unless stated otherwise.
  • SaaS tool subscriptions are billed monthly and can be cancelled at any time from your account; cancellation stops future billing but does not refund the current billing period unless required by law.
  • Managed agent engagements may include a fixed-price pilot period, described at the time of purchase, which is credited toward the ongoing subscription where applicable.
  • Course purchases are one-time payments that grant access to the purchased course.
  • Accepted payment methods are shown at checkout and may include card payment, PayPal or direct bank transfer, depending on what is enabled at the time.
  • You authorize us to charge the payment method you provide for all fees you incur, and you agree to keep your billing information current.

5. Free consultations and pilots

Free consultations are offered to scope potential engagements and do not themselves create a contract for paid work. A paid engagement begins only once you accept a specific quote, order or statement of work.

6. Acceptable use

You agree not to use the Services to:

  • Break any applicable law or regulation.
  • Infringe the intellectual property or privacy rights of any third party.
  • Transmit malware, attempt to gain unauthorized access to our systems, or interfere with the normal operation of the Services.
  • Use an AI agent or tool to generate content that is unlawful, deceptive, or intended to harm others.
  • Resell or sublicense access to the Services without our prior written consent.

We may suspend or terminate access for accounts that violate this section.

7. AI output and human oversight

Our AI agents and tools use third-party large language models and automation to draft content, take actions, and surface recommendations. AI output can be inaccurate or incomplete. You remain responsible for reviewing AI-generated output before relying on it for business, medical, legal, financial or safety-critical decisions, and for configuring the approval and guardrail settings appropriate to your use case. Omnifys does not guarantee that any agent will be error-free or available without interruption.

8. Intellectual property

The Omnifys name, logo, website design, course materials and software are owned by Omnifys Consulting Inc. or its licensors and are protected by copyright and trademark law. Except as expressly permitted (for example, the license granted to you to use a subscribed tool or enrolled course during your subscription), nothing in these Terms transfers ownership of our intellectual property to you.

You retain ownership of the data and content you submit to our agents and tools. You grant us a limited license to process that data solely to provide the Services, as described in our Privacy Policy.

9. Third-party services

The Services may integrate with third-party platforms (for example, payment processors, CRM systems, or AI model providers). Your use of those third-party services is governed by their own terms, and Omnifys is not responsible for their availability or performance.

10. Service availability and support

We aim to keep the Services available and performant but do not guarantee uninterrupted access. Planned maintenance, third-party outages, or events outside our reasonable control may affect availability. Support channels and response times for your plan are described on our Contact and FAQ pages.

11. Limitation of liability

To the fullest extent permitted by law, Omnifys and its officers, employees and contractors will not be liable for indirect, incidental, special or consequential damages, or for lost profits or lost data, arising from your use of the Services. Our total liability for any claim relating to the Services is limited to the amount you paid us for the Service giving rise to the claim in the twelve months before the claim arose. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold Omnifys harmless from claims, damages and expenses arising from your misuse of the Services or your violation of these Terms.

13. Termination

You may stop using the Services and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms, including the acceptable use provisions in Section 6.

14. Changes to these Terms

We may update these Terms from time to time to reflect changes to our Services or applicable law. We will update the “Last updated” date above when we do. Continued use of the Services after an update means you accept the revised Terms.

15. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
